Terms of Service

Two things live here: the rules for using this website, and the framework that sits behind a paid engagement. Anything commercially binding — scope, price, dates, liability caps — comes from the proposal or order form you sign, not from this page.

Applies to
novireli.com and services provided by Novireli Technologies

01These terms and what overrides them

By using novireli.com you agree to these terms. If you do not agree, please do not use the site.

Where you engage Novireli for paid work, a separate written proposal, order form or statement of work is signed. That document governs the engagement. If anything on this page conflicts with the signed document, the signed document wins, and nothing on this website should be read as varying it.

02Who we are

Novireli Technologies is operated by Novireli Technologies LLC (Wyoming limited liability company). Registered office: 30 N Gould St, Ste R, Sheridan, WY 82801, United States. Correspondence about contracts, billing and legal notices should be sent to support@novireli.com and will be acknowledged in writing.

03Using this website

You may read, print and share this site for your own business purposes. The text, code, design, diagrams and wordmark are ours and are protected by copyright and trademark law; you may not republish them as your own or use them to imply an association that does not exist.

You agree not to:

  • Attempt to gain unauthorised access to the site, its hosting, or any connected system
  • Interfere with the site's availability or integrity, including by denial-of-service or automated overload
  • Scrape the site to build a competing directory or to send unsolicited commercial email to our addresses
  • Misrepresent yourself as Novireli or as acting on our behalf

Security concerns may be reported through the process on our Security page.

04No offer, no self-serve purchase

The service descriptions on this site are information, not an offer capable of acceptance. Scope and price are agreed in writing; the price in your signed proposal is the price that applies to you.

There is no checkout on this site. Nothing you do here creates a payment obligation, stores a payment method, or starts a subscription. Emailing us does not form a contract, and no work begins before a proposal is signed.

05How engagements are formed

  • We discuss the work, then issue a written proposal setting out scope, deliverables, fee, milestones, assumptions and exclusions
  • Signature by both sides forms the agreement; work starts once any deposit stated in the proposal is received
  • Changes to scope are agreed in a written change order with their own price and schedule impact — we do not silently absorb or silently bill extra work
  • Estimates of duration are estimates. Where a date is committed, it is written into the proposal along with the assumptions it depends on

06Client responsibilities

Delivery depends on things only you can provide. You agree to supply, in reasonable time: a decision-maker who can answer scope questions, access to the systems and data the work requires, and review of deliverables when they are put in front of you.

You confirm that you have the right to give us the data and access you provide, and that doing so does not breach a third-party agreement or applicable law. Delays caused by missing access or absent approvals move the timeline, and where a fixed-fee engagement is held open for an extended period we may re-quote the remaining work.

07Fees, invoicing and taxes

Fees, deposits, milestones and payment methods are set out in the proposal and summarised on the Pricing page. Invoices are issued in US dollars and are payable by the date stated on the invoice. Prices exclude sales, use and similar taxes, which are added where they apply.

Work may be paused on invoices more than 14 days overdue, after written notice. Third-party costs such as model provider usage and hosting are either billed to your own accounts or passed through at documented cost when agreed in advance.

08Intellectual property

  • Your materials stay yours. Data, content and systems you give us access to remain your property.
  • Deliverables transfer to you. On payment in full for the relevant milestone, the custom code, configuration and documentation created for you under the proposal become yours, as stated in that proposal.
  • We keep our general know-how. Pre-existing tools, libraries, templates and general skills we bring to the work remain ours. Where such material is embedded in a deliverable, you receive a perpetual, worldwide, royalty-free licence to use, modify and maintain it as part of that deliverable.
  • Open source stays open source. Third-party components keep their own licences, which are identified in the deliverable.

09Confidentiality

Each side agrees to keep the other's non-public information confidential, to use it only for the engagement, and to protect it with at least reasonable care. The obligation continues after the engagement ends and does not apply to information that is public, already known without a duty of confidence, independently developed, or required to be disclosed by law — in which case we will tell you unless prohibited.

Any contractor we bring in is bound by equivalent obligations before receiving access.

10AI outputs and professional judgement

Systems we build may use machine learning and language models. Those models are probabilistic: they can produce output that is incorrect, incomplete or inappropriate for your situation, and no configuration removes that possibility.

  • We do not warrant that model output will be accurate, complete or fit for a particular decision
  • Where quality figures are reported, they describe measured performance on an agreed evaluation set, not a guarantee of future results
  • You remain responsible for reviewing output before it is relied on, and for any decision made using it
  • Nothing we deliver is legal, medical, financial, tax or other regulated professional advice, and it must not be used as a substitute for a qualified professional
  • Systems affecting money, contracts, employment, credit, health or legal outcomes are designed with a human approval step, and you agree not to remove that step without your own assessment of the risk

11Third-party services

Engagements typically involve third-party platforms — cloud hosting, model providers, SaaS tools you already use. Those services are governed by their own terms and their own availability, pricing and policy changes, which are outside our control. We will tell you which third parties a design depends on before we build on them, and we are not liable for their acts, outages or price changes.

12Warranties and disclaimers

We warrant that services will be performed in a professional and workmanlike manner by people competent to do them, and that deliverables will materially conform to the specification in the proposal for 30 days after acceptance of the relevant milestone. Our obligation for a valid warranty claim in that period is to correct the non-conformity at our cost.

Beyond that warranty, and to the fullest extent permitted by law, this website and our services are provided “as is” without implied warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that this website will be uninterrupted or error-free, and we publish no uptime commitment for it.

13Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or business interruption, even if advised of the possibility.

Our total aggregate liability arising out of or related to an engagement is limited to the fees you paid us under the applicable proposal in the twelve months before the event giving rise to the claim. For use of this website alone, where no fees have been paid, our total liability is limited to one hundred US dollars.

These limits do not apply to a party's fraud, wilful misconduct, or any liability that cannot be excluded by law. Where the signed proposal states a different cap, that cap applies instead.

14Indemnity

You agree to indemnify Novireli against third-party claims arising from content, data or instructions you provide, from your use of a deliverable in a way the proposal did not contemplate, or from removal of a human review step we designed into a system. We agree to indemnify you against third-party claims that a deliverable created by us infringes their intellectual property rights, excluding claims caused by your materials, your modifications or third-party components used as instructed.

15Term, termination and refunds

Either side may terminate an engagement for material breach that is not cured within 15 days of written notice. Fixed-scope engagements may be cancelled in writing under the terms on the Refunds & Cancellation page; monthly engagements end on 30 days' written notice from either side.

On termination you pay for work completed and work in progress to that date, we deliver what has been produced, and access to your systems is revoked. Sections that by their nature should survive — confidentiality, intellectual property, liability, indemnity and governing law — survive termination.

16Independent contractor

Novireli acts as an independent contractor. Nothing here creates a partnership, joint venture, agency or employment relationship, and neither party may bind the other. We control the manner and means of performing the work, subject to the requirements written into the proposal, and we are responsible for our own taxes and insurance.

17Publicity

We will not name you, use your logo, or describe your project publicly without your prior written permission. That is why this site carries no client logos or case studies. If you later agree to a reference, the scope of what may be said is agreed in writing first.

18Governing law and disputes

If a dispute arises, both sides agree to raise it in writing and attempt to resolve it in good faith within 30 days before starting formal proceedings. Write to support@novireli.com with the details.

The governing law and venue for an engagement are stated in the signed proposal or order form, and that statement controls. These website terms are governed by Wyoming law. Disputes concerning use of this website will be brought in a court of competent jurisdiction in Wyoming, unless applicable law requires otherwise.

19Changes to these terms

This is version 1.0, effective September 11, 2026. We may update these terms; the effective date at the top of the page will change when we do. Changes are not retroactive and do not alter a proposal already signed. Active clients are notified by email of any material change.
