- Contract
- Work is performed under a signed proposal or order form that states scope, fee, milestones and dates. That document, together with our Terms, forms the agreement.
- Deposit
- A proposal may require a deposit or an initial milestone payment before work begins. The exact amount and timing are stated in that proposal.
- Monthly engagements
- Retainers are invoiced at the start of each monthly cycle. Notice and cancellation terms are stated in the signed proposal.
- Invoices and due dates
- Invoices are issued by email in USD and are payable on the terms stated in the signed proposal or order form. Each invoice itemises what it covers.
- Payment methods
- Accepted methods are confirmed on the order form before any invoice is issued. We expect to accept US bank transfer (ACH) and card payment through a regulated payment processor once our business banking and merchant accounts are open; until then, the method stated on your order form is the only one we will ask you to use. We never request payment to a personal account and never ask for card details by email.
- Third-party costs
- Model provider usage, hosting and other third-party services are either billed directly to your own accounts — which we prefer, because you keep control and visibility — or passed through at documented cost with no markup, when agreed in advance.
- Expenses
- We do not bill expenses without prior written approval. There are no travel costs in a remote engagement.
- Taxes
- Prices exclude sales, use and similar taxes. Where such taxes apply once entity formation and tax registration are complete, they will be shown as a separate line on the invoice.
- Late payment
- Invoices more than 14 days overdue may pause work. We will always email before pausing, and we do not charge compounding penalties.
- Changes to scope
- New outcomes are quoted as a written change order with their own price and schedule impact. We do not add charges to an existing invoice without agreement.
